What happened?

Initially recommended by our accountants, we obtained bespoke articles of association and shareholders agreement, then share options and several technology licences. More recently we entered into a relatively complex vision technology joint venture with a leading global fruit growing organisation.

What was the job?

Our company was refinancing its loans.

Why was the lawyer chosen?

We have used Altmore previously and it is now our preferred commercial law resource.

What happened?

Altmore managed the process and ensured the transaction was completed properly. The new funders lawyers were slow to process documents and often their agreements had inappropriate wording so Altmore had quite a job to ensure everything was satisfactory.

What was the job?

Business critical legal contract with the largest IT distributor in Europe. Dynamics, American lawyer, trying to use German law. Guide us to a successful speedy conclusion.

Why was the lawyer chosen?

Altmore Business Law was known to us through friends and by reputation. The firm was chosen because it offered a flexible approach to their fees which when coupled with their “grasp of the contract and reputation” made this an easy decision.

What happened?

Altmore engaged in a 1 hour "fact find" to orientate, grasped the key areas where the contract was biased in the other sides favour and negotiated with the other sides lawyer a swift conclusion.

Cant recommend them highly enough. We will default to using Altmore going forward.

What was the job?

To act for us in the sale of our private limited company (Independent Fostering Agency) to a Equity based group.

Why was the lawyer chosen?

We like to work with smaller,independent companies and suppliers in our business, so that was an initial consideration. We did contact some bigger more established legal firms but felt their structures were overly bureaucratic and managed, and would result in much of the work being done by a range of junior staff. We liked Chris's approach: we would be working directly with him and he would engage specialists if they were required.

What happened?

We really worked together through the process: Chris got to know our business, which is in a niche market, and was able to really represent our views and wishes. We were aware that our close working relationship felt different and better to that portrayed by the buyers' solicitors (a large corporate firm). He took responsibility for the whole process, and brought in a specialist conveyancing solicitor at one point to undertake specific work. All in all a very personal and personalised service.

What was the job?

We acquired the Grantham Fabrications business in January 2004 through a management buy out supported by Bank of Scotland. Part of the price was deferred using loan notes issued in favour of the sellers. We reached a point in 2007 when we were able to reduce our overall indebtedness and further reduce costs by transferring some remaining debt from the note holders to the bank.

Why was the lawyer chosen?

The solicitors acting on the original MBO were well outside the East Midlands. On the refinancing we had a little more time to do some research to find an appropriate in-Region solicitor. We wanted someone with the intelligence and acumen to put together what ever we needed from company, commercial and banking law perspectives. More important still, we needed someone who had the background to do this job properly and well.

What happened?

The job went well, our choice vindicated. We were especially pleased with the clarity of the drafting, having received many impenetrable documents from law firms over the years.

What was the job?

Why was the lawyer chosen?

After many years the time had come to sell our commercial fleet hire business, if we could, and put the proceeds towards retirement. We had no experience with the sale process and all the accompanying hazards. Nor did we know of a really good specialist solicitor in whom we could entrust our biggest asset. After some enquiring we decided to instruct Chris Muris who came with a particularly strong recommendation.

What happened?

Many months later Chris telephoned to ask if we would provide this reference for inclusion on the Altmore Business Law website. The long and the short of it is that we cannot sing his praises high enough. While so often dealing with professionals can be hard going, we enjoyed a really good working relationship throughout. Chris was a dynamic force where others seemed lethargic. We still feel to this day that but for his chasing and efforts to keep the process moving forward, the sale would have taken considerably longer, or failed.

What was the job?

Commercial agreements, intellectual property, international. Premier, established in 1922, is one of the world’s leading brands in the design, manufacture, distribution and sale of drums and other percussion instruments. Major names in military, marching, traditional and rock bands use our products as do many symphonic orchestras.

During its redevelopment stage in 2009, Premier required the skills and expertise of a solid/experienced solicitor to assist in a whole range of legal work, namely; shareholder agreement; loans and debentures; intellectual property matters; various commercial agreements, i.e. dealer, distribution, endorser, tooling agreements – the list continues to grow.

Northamptonshire Education Business Partnership (NEBP), a company limited by guarantee, offers a brokerage service to business, organisations and schools, bringing them together in a series of work related programmes, events and training. We asked Altmore Business Law to reconfigure our memorandum and articles of association in light of Companies Act 2006 and ahead of our reorganisation.
