Checklist for partnership disputes and shareholder disputes involving partnerships at law, partnership agreements, articles of association, shareholders agreements and joint venture agreements

• What is the business being carried on
• Is the business currently solvent
• Is the business performance improving or deteriorating
• Who are the partners or shareholders
• Which partner or shareholder wants out or is required to leave, and why
• Is there hostility or already some agreement in principle
• Must all relationships with leaving party be terminated: employee, director, share holder, lender, guarantor, licensor, consultant, other; or might some continue
• Has there been a recent valuation, formal or informal, of the business?
• What agreements are in place that may affect exit
• What do the articles say; is there a partnership deed, shareholders agreement or joint venture agreement
• Which parties have financial strength to purchase the exiting party’s interest
• Are the remaining parties dependent upon the exiting party in any way?
• Are there any international dimensions EU and non EU
